Charles Brumlik, Ph.D., J.D.

Dr. Charles Brumlik applies his skills as a Ph.D. chemist specializing in nanotechnology and as an experienced business attorney to assist startup technology companies succeed. He also advises NJ Angels.Net and other venture capital groups. For the previous 6 years, he was a corporate attorney with ExxonMobil and an associate at Mathews, Collins, Shepherd & McKay, a Princeton intellectual property law firm.

Dr. Brumlik has 17 years of experience working with nanotechnology. At Texas A&M University he earned his chemistry Ph. D. for his dissertation entitled “Nanochemistry and Nanomaterials”. While a postdoc at Colorado State University, he authored numerous publications for his creation and testing of materials, devices and systems based on the chemistry and material science of the nano and meso scale. Such work included collaborations with the National Institute of Standards and Technology (NIST) and international academic, government, and corporate research groups. His previous work for a serial entrepreneur, his computer expertise, and his chemistry B.S. with physics minor (Magna Cum Laude) from Seton Hall University formed the extensive interdisciplinary foundation and ideology necessary to fully identify and develop the possibilities of this enabling technology. Dr. Brumlik’s recent nanotechnology work has ranged from hydrogen storage nanomaterials to low cost RFID tags.

From early in his career, Charles Brumlik assisted in the creation and operation of several start up companies for molecular models, energy, business methods, electrically conducting composites, food chemistry, and consulting. This experience emphasized the importance of legal issues for business success. He earned a law degree at New York Law School while continuing his international consulting and business startups. His legal career started as a registered patent attorney and developed to include technology transfer, sponsored research, joint ventures, international business transactions, due diligence and related business law. He has applied his legal, technical, and business experience to assist multinational corporations, educational institutions, venture capitalists, and small businesses in addressing their unique needs.

Dr. Brumlik has dual U.S.-E.U. citizenship and is fluent in French.

 

Lauren L. Hart, M.S., J.D.

Lauren is a Registered U.S. Patent Attorney with microbiology and chemistry degrees. She has 20 years experience in business development, combining executive management, technical analysis, and legal consulting. Her patent arts experience encompasses molecular biology, biotechnology, medical devices, polymer films, and computer-controlled machinery.

A former R&D biochemist, Lauren switched to business, starting in marketing with a specialty electronics firm. An executive for nine years in business development with a special emphasis on niche marketing, Lauren then took on the challenge of earning her juris doctorate and attendant law licenses. Her biosciences education, work experience, and an avid interest in emerging bio- and nano-technical arts integrate perfectly with the patent and intellectual property practice framework she has engineered.

Currently, Lauren maintains a law practice in the Midwest, concentrating on patent and IP matters including trademark, trade secret, licensing, right-to-use opinions, competitive intelligence analysis, infringement opinions, pipeline development and implementation, and IP portfolio management. Lauren has consulted in technical or legal analysis for companies large and small, including some in the Fortune 50: Mobil, Amoco, Unisys, IBM, Merck & Co, Eli Lilly, and Amgen.

 

M. White - J.D.

Mr. White is an attorney specialized in corporate law, securities, financial services and financial products.  He has extensive experience providing regulatory advice and transactional services  in a broad array of corporate law, with particularly strong skills knitting new services into existing regulatory limitations with an eye toward advancing creative business strategies, particularly marketing strategies, into practical solutions.

A graduate of Williams College in 1987 and of Columbia University Law School in 1994, Mr. White was a Harlan Fiske Stone Scholar and Executive Editor of the Columbia Human Rights Law Review.  As an attorney in large firm practice, Mr. White has worked at Cadwalader, Wickersham & Taft LLP, at Sidley Austin Brown & Wood LLP,  and Hughes Hubbard & Reed LLP.

Mr. White participated as an angel investor in the New York New Media Angel Investor program and has advised corporate decisionmakers, underwriters and investment banking institutions in a wide array transactions.  He has served as counsel to a variety of large financial institutions and has advised on the creation of international mutual funds for Morgan Stanley, Banco Santander and Merrill Lynch. On transactional matters, structuring questions and on regulatory matters, he has advised large consumer, commercial and investment banking institutions from the United States, Europe, Asia and Latin America on a broad range of financial products, investments and compliance issues involving both new and existing products and services, often in international and cross-border contexts.  Mr. White also has provided regulatory and advisory services to large New York based and international institutions delivering creative financial engineering products and derivatives products, advising on structuring and compliance matters and negotiating derivatives contracts.

Mr. White has also advised startup ventures, from the small internet telephony startup Networks Telephony Corp. of El Segundo, California, an early internet telephony provider, to First Data Corporation's Western Union Financial Services merger with the small Basin Industrial Bank, to deliver new and regulated services that required careful and creative re-structuring to allow the business venture to proceed as originally planned.  Mr. White has substantial experience advising corporate clients on a diverse range of matters from directors and officer's liability matters, corporate compliance, corporate formation, bank mergers, due diligence, underwriting of securities transactions (IPO, Equity Securities and Debt), secured debt financing, securitizations, asset sales and purchases.

Mr. White has also been privileged to be involved in micro-credit organizations in both Kenya and the United States.  As an advising attorney in the creation of an extremely successful micro-credit educational organization and sponsor to a community development credit union in Upper Manhattan, Credit Where Credit Is Due, Inc.  Mr. White served on the board of directors of the organization for more than 6 years. During his time as an active member of the board of directors, the organization attained $6 million in community deposits in the Washington Heights neighborhood of New York City.

 

Johanna Baruc - L.L. M. - Associate

Johanna Baruc was an associate and intern for BDA & Associates (Paris) where she worked on corporate reorganization issues.  She was a solicitor with Goldkorn, Mathias & Gentle (London) in corporate litigation, having worked on Jordan v Vodafone.  Johanna also worked with Schmidt, Brunet, Henry & Associes (Paris) doing corporate restructuring and creation of limited liability partnerships.  She did an internship with Bisson, Lefevre & Associes (Paris) studying will provisions.

Johanna is a member of the Paris Bar and expected to pass the New York Bar this July 2005.  She is a member of the European Affairs Committee of the New York City Bar Association. 

Johanna is graduating with an LL.M (Masters) focusing on Corporate, Banking and Finance from Fordham University’s School of Law.  She also has a Masters in Corporate and Tax Law and a Bachelor in Civil Law from Universite Paris II Panthen – Assas and has a DEA (post graduate research degree – European) in Common Law with honors.

Johanna volunteers to represent clients in hearings before the New York City Housing Authority and the Office of Housing Preservation and Development.

Johanna is fluent in English, French and conversant in Spanish.
